These Terms of Service (“Terms”) govern your access to and use of Sawhorse (the “Service”), operated by Keiner & Co. LLC (“Keiner & Co.,” “we,” “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Sawhorse is software that helps contractors prepare price quotes and visualizations using artificial intelligence. It learns pricing patterns from quotes you provide and drafts new quotes and renderings to assist you.

2. Accounts & eligibility

• You must be at least 18 and able to form a binding contract.
• You’re responsible for activity under your account and for keeping your login secure (authentication is handled by our provider, Clerk).
• An account belongs to your business (a “workspace”). You may invite team members; you’re responsible for their use.

3. Subscriptions, billing & cancellation

• New accounts include a 14-day free trial (no card required). Paid plans are billed in advance on a recurring monthly basis at the price shown when you subscribe — currently $25 for your first month, then $99/month. Billing is processed by Stripe; we don’t store your card details.
• Subscriptions auto-renew each period until canceled. You can cancel anytime from the billing portal; cancellation takes effect at the end of the current paid period.
• Payments are non-refundable except where required by law. Canceling stops future charges; we don’t prorate partial periods.
• We may change prices with at least 30 days’ notice; changes apply to the next renewal.
• If a payment fails, we may suspend access until it’s resolved.

4. Your content & your data

• You own your content. The quotes, photos, pricing history, client information, and other materials you upload (“Your Content”) remain yours. We claim no ownership.
• You grant us a limited license to host, process, and display Your Content solely to provide the Service to you (including sending it to our AI providers to generate quotes and renderings).
• You can export your data at any time, and you’re responsible for having the rights to any content you upload — including any personal information about your own clients.
• We will not use Your Content, or your clients’ personal information, for advertising or marketing. (See our Privacy Policy for how we handle your account and usage data.)

5. AI-generated output

• Prices, scopes, and renderings produced by Sawhorse are AI-generated estimates and illustrations — drafting aids, not professional advice, guarantees, or appraisals.
• You are responsible for reviewing and approving every quote before sending it to a client. Renderings are illustrative representations of a proposed result, not exact depictions of finished work.
• AI can be wrong. Don’t rely on output without your own judgment.

6. Support access

To troubleshoot issues, our support staff may access your workspace (“sign in as you”). When this happens you’ll see a clear banner, and every such session is logged. We access accounts only to operate and support the Service.

7. Acceptable use

Don’t misuse the Service: no illegal use, no uploading content you don’t have rights to, no attempts to break, overload, reverse-engineer, or resell the Service, and no using it to generate misleading or fraudulent quotes.

8. Availability & warranty

We work to keep the Service available but don’t guarantee uninterrupted or error-free operation. The Service is provided “as is” without warranties of any kind, to the fullest extent permitted by law.

9. Limitation of liability

To the fullest extent permitted by law, Keiner & Co. will not be liable for indirect, incidental, or consequential damages, or for lost profits or business, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

10. Termination

You can stop using the Service and cancel anytime. We may suspend or terminate access for violation of these Terms or non-payment. On termination you may export your data for a reasonable period, after which it may be deleted.

11. Changes

We may update these Terms. If we make material changes, we’ll notify you (e.g., by email or in the app). Continued use after changes take effect means you accept them.

12. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules. Disputes will be handled in the state or federal courts located in Hennepin County, Minnesota.
